What is a Registered Investment Advisor (RIA)?

A Registered Investment Advisor (RIA) is a person or a firm that provides investment advice or financial planning services to individuals or institutions in exchange for a fee. In India, RIAs must be registered with SEBI (Securities and Exchange Board of India) and are legally bound to offer advice that is in the best interest of their clients unbiased, research backed, and without any conflict of interest.

They do not earn commissions from product sales like mutual funds, insurance, etc., which sets them apart from traditional distributors or agents.

SEBI Rules & Responsibilities of RIAs:

Under SEBI (Investment Advisers) Regulations, 2013 (updated in 2020), RIAs must follow a comprehensive set of guidelines:

Eligibility Criteria (for individuals):
  • Minimum qualification: PG degree/diploma in finance, accounting, business or commerce.
  • Experience: At least 5 years in financial services.
  • Must clear NISM-Series-X-A & X-B (Investment Adviser exams).
  • Must register with SEBI and renew every 5 years.
Duties & Responsibilities:
  • Fiduciary Duty: Always act in the best interest of the client.
  • Client Risk Profiling: Understand client goals, risk appetite, time horizon before advising.
  • Investment Planning: Provide holistic investment recommendations (not biased toward commission-based products).
  • Fee-only Model: Can charge either flat fees or AUA-based (Assets Under Advice) fee but cannot earn commission from third-party product sales.
  • Segregation: If part of a company is also involved in distribution, there must be a clear egregation between advisory and distribution arms.
  • Documentation & Compliance: Must maintain all records of client interactions, agreements, and advice given for 5 years.
Prohibited Practices:
  • Cannot receive commissions from mutual funds, insurance, PMS, or any product sellers.
  • Cannot guarantee returns.
  • Cannot distribute products if registered as an RIA.

Who Can Become

Who Can Become an Investment Advisor?

To become a Registered Investment Advisor (RIA) in India, an individual or entity must meet the eligibility criteria set by SEBI (Securities and Exchange Board of India). Here s who can qualify:

Educational Qualification
  • A professional qualification in finance, accountancy, business management, commerce, economics, capital markets, or banking.
  • Minimum: Graduate degree + relevant certifications like NISM-Series-X-A & X-B.
Experience
  • At least 5 years of relevant experience in financial advisory, portfolio management, or investment analysis is preferred for individual applicants.
Certification Requirement
  • Must pass NISM Investment Adviser Certification Exams (Level 1 and 2) to prove technical knowledge and regulatory understanding.
SEBI Registration
